END USER LICENSE AGREEMENT

1. AGREEMENT
By installing, accessing, or using KERNEL FLUX ("the Software") you agree to the terms of this End User License Agreement ("EULA") with Jack Nine Digital LLC, a California limited liability company that publishes software under the KERNEL Audio brand ("we", "us", or "KERNEL Audio").
If you do not agree to these terms, do not install or use the Software.
2. LICENSE GRANT
Subject to your compliance with this EULA, KERNEL Audio grants you a non-exclusive, non-transferable, worldwide license to:
(a) Install and use the Software for personal or commercial music production on up to two (2) computers that you own or primarily control;
(b) Use any music or other audio you create with the Software for any purpose, including commercial release, without any obligation, royalty, or attribution to KERNEL Audio.
The license is per-seat. A single license key may be activated on no more than two (2) machines at a time.
3. TRIAL
The Software offers a 14-day free trial. During the trial period all features are available without restriction. After the trial expires, audio output is muted until a valid license key is entered. The trial may be initiated only once per machine.
4. RESTRICTIONS
You may not:
(a) Distribute, sublicense, sell, rent, or lease the Software or your license key to any third party;
(b) Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits such activity notwithstanding this restriction;
(c) Remove or alter any copyright, trademark, or proprietary notices in the Software;
(d) Use the Software in violation of any applicable law.
5. OWNERSHIP
The Software is licensed, not sold. KERNEL Audio retains all right, title, and interest in and to the Software, including all intellectual property rights therein. Factory presets, wavetables, code, algorithms, and visual design are the exclusive property of KERNEL Audio.
User-created content (patches, recordings, audio output) belongs to you.
6. UPDATES
Updates within the same major version (v1.x) are included with your purchase at no additional cost. Major-version upgrades (v2.0, v3.0, etc.) may require a separate paid upgrade.
7. REFUNDS
Because the Software offers a fully-functional 14-day trial, all sales are final. Refunds are granted only at the sole discretion of KERNEL Audio, typically when:
(a) The Software is defective and we are unable to provide a working version within a reasonable time, or
(b) Required by law in your jurisdiction.
Refund requests should be sent to [email protected]. Refunded licenses are revoked and may no longer be activated.
8. DATA COLLECTION
The Software transmits the following information to kernel-flux.com:
(a) At first launch, a SHA-256 hash of your machine's network device identifiers, used to register your trial;
(b) At activation, your license key plus the same machine hash, used to enforce the two-activation limit;
(c) Your computer's friendly hostname (e.g. "DESKTOP-ABC123"), so we can identify activations when you contact support.
After your trial or activation completes, the Software does not phone home. See our Privacy Policy for details.
9. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL KERNEL AUDIO OR JACK NINE DIGITAL LLC BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE, INCLUDING WITHOUT LIMITATION ANY LOSS OF DATA, PROFITS, OR BUSINESS.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, KERNEL Audio's total liability to you for any claim arising under or related to this EULA shall not exceed the amount you paid for the Software in the twelve months preceding the claim.
11. TERMINATION
This EULA is effective until terminated. Your rights under it will terminate automatically, without notice, if you fail to comply with any term. Upon termination you must cease all use of the Software and destroy all copies in your possession.
12. GOVERNING LAW
This EULA is governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising under this EULA shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
